The Office of Competition and Consumer Protection announced that it had issued conditional approval for Carrefour Polska’s purchase of the retail space used by the Tesco hypermarket in Pelani Wroclaw.
The office indicated that the subject of focus is Carrefour Polska’s acquisition of a portion of the Ingka Centers Polska property in the form of retail space used to cater to the Tesco mega market in the Aleja Bielany Shopping Center in Bielany Wrocławskie.

“After conducting the procedure, we decided that reducing the space of one of the Tesco stores would reduce the negative effects of the concentration. Thanks to this, in the local market, supermarkets will continue to compete with each other for the benefit of the consumers”.
As stipulated, in accordance with the decision, the Carrefour store area at ul. General Hallera 52 in Wrocław, which operates in the same market, will be reduced by 1,500 square meters, and this will mean a decrease in the market power of Carrefour Polska in the local market.
“As a result, conditions for prices, quality and availability of goods for consumers will not deteriorate” – it was evaluated. I add that after the condition is fulfilled, the acquiring company will have a small obligation to report on its implementation.
The office explained that in this case it was necessary to conduct the second phase of procedures and market research. Materials collected by UOKiK showed that the focus may limit competition in the local market within a 20-25 minute drive from the Tesco hypermarket in Bielany Wrocławskie. It was possible to issue conditional approval of the transaction.

The decision is not final. The applicant has the right to appeal to the Competition and Consumer Court.
It was recalled that according to the regulations, the transaction is subject to notification by the Antimonopoly Office if it involves entrepreneurs whose total turnover in the previous year exceeded one billion euros in the world or 50 million euros in Poland. “When evaluating the concentration, the head of the Bureau of Competition and Consumer Protection may prohibit the transaction, grant approval for its implementation or make approval conditional on the entrepreneur fulfilling additional conditions” – it is indicated. It is noteworthy that the issued decisions are valid for two years.
